General Terms and Conditions

1. Definitions

Xdrv: Xdrv B.V., registered at the Dutch Chamber of Commerce under number 84176350, with its registered office at Statenlaan 18, 5223 LA 's-Hertogenbosch, the Netherlands.

Client: any natural person or legal entity that enters into an agreement with Xdrv for the provision of services.

Services: all services provided by Xdrv, including but not limited to professional driver services, international executive car transport, maintenance planning, detailing, and indoor car storage.

Agreement: any agreement between Xdrv and the Client for the provision of Services.

Booking: a confirmed reservation for a Service made by the Client via phone, WhatsApp, Signal, email, or the Xdrv app.

2. Applicability

2.1 These General Terms and Conditions apply to all offers, quotations, agreements, and deliveries of Services by Xdrv.

2.2 Deviations from these Terms are only valid if agreed in writing between Xdrv and the Client.

2.3 The applicability of any general terms and conditions of the Client is expressly excluded.

3. Bookings and Confirmation

3.1 A Booking is confirmed once Xdrv has provided written or verbal confirmation to the Client.

3.2 Xdrv reserves the right to refuse a Booking at its discretion without stating reasons.

3.3 The Client is responsible for providing accurate and complete information at the time of Booking, including pick-up location, destination, date, time, and any special requirements.

3.4 A minimum booking duration of 4 hours applies to all hourly driver services.

4. Pricing and Payment

4.1 All prices are as stated on the Xdrv website and are exclusive of VAT unless stated otherwise.

4.2 Urgent booking surcharges apply as follows: €50.00 for bookings made less than 4 hours in advance; €25.00 for bookings made between 4 and 24 hours in advance.

4.3 Expenses are billed separately at actual cost, including kilometre reimbursement at €0.50/km for use of the driver's own vehicle, a meal allowance of €20.00 per trip exceeding 8 hours, and other out-of-pocket costs at actual expenses.

4.4 Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.

4.5 In the event of late payment, Xdrv reserves the right to charge statutory commercial interest and reasonable collection costs.

5. Cancellation Policy

5.1 Cancellations made more than 48 hours before the scheduled start of the Service are free of charge.

5.2 Cancellations made within 48 hours of the scheduled start of the Service will incur a cancellation fee equal to 50% of the minimum booking (4 hours × the applicable hourly rate for the booked driver tier).

5.3 No-shows without prior cancellation will be charged at the full minimum booking rate.

5.4 Cancellations must be communicated to Xdrv via phone, WhatsApp, or email.

6. Obligations of the Client

6.1 The Client shall ensure that the driver has access to the vehicle and any relevant information required to perform the Service.

6.2 The Client shall treat Xdrv personnel with respect and shall not request any conduct that is unlawful, unsafe, or contrary to these Terms.

6.3 The Client is responsible for ensuring that the vehicle is roadworthy and adequately insured when a driver service is requested using the Client's own vehicle.

7. Liability

7.1 Xdrv carries professional liability insurance appropriate for commercial driver services. In the event of damage caused by Xdrv during the performance of a Service, Xdrv will handle the claim and ensure full repair.

7.2 Xdrv's liability is limited to direct damages and shall not exceed the total amount invoiced for the relevant Service.

7.3 Xdrv is not liable for indirect damages, consequential losses, or loss of profit.

7.4 Xdrv is not liable for delays or non-performance caused by circumstances beyond its reasonable control, including but not limited to traffic conditions, weather, or force majeure events.

8. Confidentiality

8.1 Xdrv treats all information shared by the Client as strictly confidential. Drivers are bound by confidentiality obligations and will not disclose any information about the Client, their destinations, or conversations.

8.2 Xdrv will not share Client data with third parties except where required by law or with the explicit written consent of the Client.

8.3 Clients who require a formal non-disclosure agreement may request one prior to the first Booking.

9. Intellectual Property

9.1 All intellectual property rights in the Xdrv brand, website, and materials are owned by Xdrv B.V. and may not be reproduced or used without prior written consent.

10. Governing Law and Disputes

10.1 These Terms and all Agreements are governed by Dutch law.

10.2 Any disputes arising from or in connection with these Terms or an Agreement shall be submitted exclusively to the competent court in 's-Hertogenbosch, the Netherlands, unless mandatory law provides otherwise.

10.3 Before initiating legal proceedings, the parties shall make reasonable efforts to resolve any dispute amicably.

11. Amendments

11.1 Xdrv reserves the right to amend these Terms at any time. The most current version is always available on the Xdrv website.

11.2 Continued use of Xdrv Services after an amendment constitutes acceptance of the revised Terms.
